Terms & Conditions

Acceptance of Terms

By engaging Quvanta Media Private Limited for any services, or by using our website, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services or website. These terms apply to all clients, visitors and users of our services.

Services

Quvanta Media Private Limited provides digital marketing services including but not limited to: paid advertising management (Meta Ads, Google Ads, Amazon Advertising), website and Shopify development, search engine optimisation, and ecommerce strategy. The specific scope of services for each client engagement is defined in a separate Service Agreement or Proposal document, which forms part of the contractual relationship between Quvanta and the client.

Payment Terms

Monthly retainer services are invoiced in advance on the first of each month. Project-based services are invoiced according to the payment schedule agreed in the project proposal (typically 50% upfront, 50% on completion). Ad spend is billed separately by the respective advertising platform (Meta, Google, Amazon) and is not part of our management fee. Late payments attract an interest charge of 1.5% per month.

Intellectual Property

All creative work, strategies, reports and materials developed by Quvanta for a client engagement become the property of the client upon full payment of all outstanding invoices. Quvanta retains the right to reference client work in case studies and portfolio materials unless otherwise agreed in writing. Any proprietary methodologies, frameworks or processes developed by Quvanta remain the intellectual property of Quvanta.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive business information disclosed during the engagement. Quvanta will not share client business data, campaign performance, financial information or business strategies with any third party without prior written consent, except as required for service delivery or by law.

Client Responsibilities

Clients are responsible for: providing accurate information about their business, products and target audience; granting timely access to necessary accounts and platforms; reviewing and approving materials within the agreed timelines; ensuring that products or services advertised comply with applicable laws and advertising platform policies; maintaining adequate ad spend budgets as agreed in the service scope.

Limitation of Liability

Quvanta will perform services using industry-standard best practices and cannot guarantee specific results including particular ROAS figures, revenue outcomes, or search rankings. Marketing results depend on many factors outside Quvanta's control, including market conditions, competition, seasonal factors and the client's product and pricing. Our liability is limited to the fees paid for the specific service in question in the month the issue arose.

Termination

Either party may terminate a monthly retainer agreement with 30 days written notice. Project-based engagements may be terminated by either party with notice, subject to payment for work completed to the termination date. Quvanta reserves the right to terminate engagements immediately in cases of non-payment, breach of terms, or requests to engage in activities that violate advertising platform policies or applicable law.

Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms or from client engagements shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India.
